According to the Merger Agreement, which was signed in April and no longer binding as of the end of May, Core Wafer Systems was to merge with APII NY, which is the subsidiary of APII/WAFR. APII NY would cease to exist and CWS would survive as the subsidiary of APII Florida. APII NY is still active and CWS is in default, which is no surprise since it was in default 6 of the past 8 years!
