Its legal, but barely. unregistered sales and form D's, 504's, etc. Have been under SEC scrutiny in the past because they are regularly used to skirt the system.

My guess is that was payment to AGS for their legal fees, which have probably already been converted and sold into the share structure if the numbers on the ask are any indication.

Funny that we get "approved" for 50 million in equity financing but file a form D for 500k.
