Seems some "very important" DD that had been posted must have somehow been overlooked.

Far from it. The issue has been discussed at length. First, Fallacaro said that GTHI was a "wholly-owned subsidiary" of GTGP. Then, in a fairly recent 8-K, he said that GTGP did not hold a control position in GTHI.

An obvious contradiction.
