Exchanges Act Section 13(a) and Rules 13a-1 and 13a-13.

13 PERIODICAL AND OTHER REPORTS:
SEC. 13. (a) Every issuer of a security registered pursuant to
section 12 of this title shall file with the Commission, in accordance with such rules and regulations as the Commission may prescribe as necessary or appropriate for the proper protection of investors and to insure fair dealing in the security—


(1) such information and documents (and such copies
thereof) as the Commission shall require to keep reasonably
current the information and documents required to be included
in or filed with an application or registration statement filed
pursuant to section 12, except that the Commission may not
require the filing of any material contract wholly executed before July 1, 1962.


WOW, there is no mention of this section:
"13a-13" or "13(a)-13"
Not even the word, nor definition of "Scienter" is mentioned!!
WOW even the SEC laws are being distorted, quite desperate, not to mention illegal!

No, it is in fact fraud as defined by Exchanges Act Section 13(a) and Rules 13a-1 and 13a-13 which require public companies to file annual and quartely reports with the commission. Compliance with those requirements is mandatory and may not be subject to conditions from the registrant. Scienter, which is often described as "a mental state embracing intent to decieve, manipulate, or defraud," is not required to establish violations of Exchange Act securities 13(a) and Rules 13(a) and 13(a)-13.


Talking about fraud eh?! WOW!!
