At some point it didn't matter to Joe if the SEC got involved. He had to feel that the SEC wasn't going to go after a small target like him. Especially after that blog that urged investors to buy while he was quietly selling some of his stake.

I think more shares had to be issued to satisfy earlier convertible preferred holders. As new holders were getting better deals the older holders had make good provisions that dramatically increased their holdings.

Just my opinion.
