NEWS - ASKE - ATTN: Black Op Stocks

IamtheWalrus: A little buying pressure, we can all make a few here and there till the EOY. No doubt it won't move any higher than .001, if that, but it can be a flippers paradise down here. Maybe now with Beaton gone, this may have a chance of being directed by someone else who can do better. Remember how easy it moved to 4 the last run it had. Float could be thin.

Director Resigns, Company Defaults on Claims

Sep 04, 2012
OTC Disclosure & News Service

Carlsbad, CA -
September 4, 2012. Alaska Pacific Energy Corp. reports that Mr. Al Beaton,P.Eng, has resigned from the board of directors effective immediately.

As the company is very low on funds, and has been struggling for some time, it is currently unable to raise money from the market due to the Caveat Emptor that is still on the symbol. Jim King, President, personally made a payment of $6000 about a month and a half ago in the hope that the CE would have been removed, as the company had filed its 2011 Annual Report for the fiscal year ended January 31, 2012 and its April 30 Quarterly Report for the first quarter of 2012 which made it current with its filings at that time. However after these filings the company received notification that the company would be required to file a attorney’s opinion letter, of some substance, which is costly to fulfill at this time, given our very tight financial situation.

Management worked very hard to get the two filings done and no one has been paid any fees for undertaking this costly effort. Because of the financial status of the company, it cannot meet its cash commitments to the Optionor of the Pilot claims. Default notice has been received by the company and therefore, APEC has lost its rights to the Pilot claims.

It should also be noted that the stock sales in the past year has been the sale of treasury shares by the company in order to raise operating funds, not sales by insiders.

Jim King states, “I have been most successful in building companies during my career and have worked very hard since 2005 when I incorporated APEC with the absolute intention of building Alaska Pacific Energy Corp. into a successful operation. Unfortunately, our efforts have not yet achieved the desired results. As conditions and the company’s prospects improve we will keep our shareholders informed."
