1. The company we are dealing with did not incorporate as Montague Investment Bank of USA.
2. The Montague Investment Bank LTd., we are dealing with is an investment bank like Fidelity or Morgan Stanley - it is not a commercial or savings bank and does not provide banking services and is not registered as a bank with the Banking Department.
3. It is a venture capital firm.
4. It is privately held and I believe is owned by an investment group from Europe.
5. This company does not own any stocks or had provided any capital to MIHL, however they are studying our deal to lease railway cars to the Russian Rail System for possible financing.
