Stockholders of Genta Delaware do not have the right to cumulate votes in the election of directors.
Stockholders of Genta California, however, will have the right to cumulate votes in the election of
directors until the common stock of Genta California is listed on the New York Stock Exchange, NYSE
Amex, the NASDAQ Global Market or the NASDAQ Capital Market.
