The Company has set a date of September 31st, 2012 for the potential closing of the transaction.

Letters of Intent are usually worthless. They are non binding on either party.
Couple that with the use of the weasel word "potential" in the above quote. CG did not say they will close on Sept.31. He only said they have the POTENTIAL to close. Given this guys history, I wouldn't hold my breath!
