Melatonin is fairly unstudied and the effects are not completely realized yet. There are two ways to get melatonin, it can be extracted from animals and concentrated in higher doses and then taken. The problem with this is that it can contain viruses because it does come from live animals after all. The other way is to produce it synthetically. This keeps the virus out, but the verdict is still out as to how safe this is.

There are currently three companies who have a patent on synthetically producing melatonin and if it continues to become popular, those three companies may find themselves competing with new producers of melatonin. Those original three companies don't want that to happen because it would be less money in their pocket so it would be in their best interest to have melatonin regulated and only available through prescription. That way, it would be hard for new producers to enter the market and the three who are already there would maximize profits.
