Reg S is an exemption from registration. Companies can sell stock to non-U.S. residents and they don't have to tell a soul about it, if they're not SEC filers. I imagine that's how MDMN managed to issue so much stock over the years.

And yes, all MMs who trade U.S. OTC stocks must be registered with FINRA.
