a - an LOI or MOU is pretty meaningless without there being a non-refundable cash transaction. that shows intent, not the signing of a non-binding LOI or MOU. The latter two (non-binding) accompanied with "coverage" by a newsletter/email campaign is almost always a bad sign. Unless you're a day trader.
b - if there isn't an 8-K issued with the PR on a "deal" it's probably not real. And eventually, after a lot of volume will be followed that "it didn't look good for the company so we backed out".
