It is. Basically a way for a private company to go public without doing an IPO. Control and ownership is given over to the private company in exchange for their assets.

Check out Armada Oil (AOIL) as an example. Compare their last 10-Q report (02/14/2012) with their 10-K that was released yesterday (06/27/2012). They went thru a reverse merger in March with NDB Energy. Look at the change in assets and net enterprise value.
