regarding the 13M debt.

From what I've been able to ascertain from reading ALLLLL of the documentation, this debt (12M of it I think) was from the Toy company and it carries forward in order to cancel out all profits up to 12M in the forseeable future. No reason to get rid of it when you can use it to not pay taxes. Its honestly, quite a benefit to have on the books, and another reason why bankruptcy wasn't a good idea.

we can have 12M of tax free profits!
