I think that the key dynamic is that Wallace did not choose to come back from his suspension because of his own mistaken beliefs.

My guess is that could have been worked out if Spencer was willing to act in good faith.



I think that this is a good example of this mistaken belief here. I doubt Spencer agreed to pay Wallace in cash and that Wallace refused shares, therefore I see no agreement that existed in the first place. Why a breach of contract was argued seems improbable in retrospect.

I don't understand how Spencer acted in bad faith by offering a form of compensation that was accepted by previous employees and employees after him.
