I had two lengthy telephone calls with Val Westergard on 2/6 and 2/7 2012. He is aware that I have reported much of the false and misleading activity he has claimed regarding MDGC to regulatory agencies.

I agreed to keep the conversations private after the fact as Val assured me he was preparing to "wipe the slate clean" and become totally transparent going foward. However because Val has not done even one of things we discussed, I am ready to go public with the content of our conversations.

Because Val is now claiming he will finally release the annual report for FYE 12/31/2011 tomorrow, I will wait to see if he follows through and if so, to see if the report he releases is verifiable and contains a verifiable description of the current business he claims to have in Boise instead of the previous businesses in China which were the Little Sheep children's clothing operation and Oriental Media -- both businesses of which were given back to MediaG3 founder William Yuan in exchange for debt owed long before the merger with Imperial Wireless.

FWIW, I told Val in our telephone conversations that the first thing he needed to do if he was sincere about transparency was to un-gag the transfer agent and post the current share structure on the "Company Information" page on OTC Markets. His non-action in this regard is cause for suspicion of dilution that he has not been willing to disclose.

I made other recommendations as well but will wait to see what (if anything) he releases tomorrow before commenting further.
