On January 25, 2011 Sundance Gold Ltd. was issued 30,000,000 common shares as part of an
acquisition agreement. This issuance represented an increase of 11.4% of the Company’s issued
stock. However, the acquisition agreement was not closed and Sundance Gold Ltd. has agreed to
return the shares for cancellation.
