You're third sentence is totally false. Wilcox never owned IWS.

The deal with Claude Smith was never consummated.

The potential of IWS and Claude Smith was promising. Newton screwed it up because Newton couldn't run a legitimate company if he wanted to.

He was so used to conning, he couldn't believe he had something legitimate to work with.
