It looks like TOVC will be in litigation as there is obviously an advisarial relationship, with consequences. I have never heard of a committe taking over a company and holding an election without a duly called meeting. Have you? I've only seen people running busineses in this (*&^%) manner in the Garment and Diamond District. Thats why I will only work with small Garment companies with 50% cash upfront and balance upon completion.
