Velatel’s Form 8-K SEC Agreement Filing 19./20. April 2012
Velatel at Item 1.02 first time provided a PDF-copy of
original to the SEC. This for better transparency can
be valued as a positive step in the right direction.
At Item 1.01 Velatel is using its standard formulation
“Entry into Material Definitive Agreement” but the
wording “Definitive” same as if used “Final” is a misleading
interpretation for the above kind of “Preliminary Confirmation
of Intent” only, as part of base for any may possibly project
related “Project Agreement“ to follow.
Same misleading is for Velatel’s wording “Strategic
Business Agreement”, but legally the wording Agreement
or Contract as the same, to be legally correct should
only for Contracts as really finally resulting Contacts
or Agreements being applied.
Velatel’s English translation at Item 1.01 as not legally
in force, because is not made by an Officially Authorized
Translator at the translation itself by the Date, Signature
and its certification Stamp and mentioning “Following or
Above Translation is made under best possible knowledge
and understanding according its Original.”
The translated Item 1.01 therefore has no legal value !
Further at end of original Item 1.02, it has the section of
the two parties confirming above, but at first Party A for
Aerostrong Company Ltd. signing and stamp by according
to China-Laws with its registered company-stamp only, the
used stamp has not the 13-Digit company registration No.
and therefore is only some personal-stamp and never any
company-stamp. At Party B company-stamp of Beijing Yunji
Co.,Ltd. ( Velatel’s Sub-Company ) there is the company
registration No. 1101030007560 existing.
Since as from Parties A and B the company-stamps are
not existing, it means in China and USA the document
Form 8-K its Items 1.01 and 1.02 has no legal value.
