Yes. IMO, this is the best part:

we will acquire 100% of the shares of Kool for a certain number of shares of the Company’s common stock



Nice to know we'll own 100% of Kool instead of just a partial %. Also, the shares that are now available from the A/S raise, will be locked for at least 12 months meaning that this thing will run w/o fear of dillution
