At such point in time that all necessary rights and approvals have been secured from applicable third parties, Parkinson has agreed to assign to Company all of his rights, title and interest in this feature film project (including copyright PAu 3-599-599) for a fair market value, to be determined by an industry expert unrelated in any way to Hannover House. Because the value of this prospective, related party transaction exceeds the financial threshold for disclosure requirements, Company proffers this notice.
