F/S shows SS and distribution of shares for cash/services. It does mention previous shares issued to SP.

Regardless of the common share dilution, look to the preferred share distribution for the answer to SP control, he is protected.

TA gagged + late financials = lights out dilution

I just hope it's almost done. IMHO
