Does everyone agree shares outstanding will be higher when the 10k gets filed by the 14th of April? Well I'm sure everyone knows shares outstanding changed. The good news is within 5 days of when NEOM files their 10k, Dr. Soon by law is required to file an ammended Schedule 13. If shares outstanding changes, Dr. Soon's percentage of ownership changes and he has to file an ammended Schedule 13.



Change in the Aggregate Number of Outstanding Securities. A Schedule 13D filer is required to amend to reflect any material change in the percentage of the class that that it beneficially owns as a result of a change in the aggregate number of outstanding securities in the class. This amendment requirement applies even if the filer did not cause the changes in reported ownership. Therefore, a Schedule 13D filer should monitor the number of outstanding shares of a class of Section 12 securities of which it beneficially owns more than 5% to determine whether any changes in the outstanding may require it to amend.
