It's not arrogance or stupidity; it's greed. They can screw shareholders easily and legally. It happens all the time. They did it to the shareholders who bought this stock in the dollars last year, and were ruthless about it.

If they chopped the heads off shareholders and institutions in the dollars what makes you think they give a damn about penny players? The issue here in a buyout/merger is valuation.
