why would ANTS enter an agreement that only gives them 20 days to find a buyer unless they already had suitors?

THIS EXCHANGE, MODIFICATION AND FORBEARANCE AGREEMENT (the “Agreement”), dated as of November 8, 2011 (the “Agreement Date”), is entered into between ANTs software, inc.,

WHEREAS, the Company has received a bona fide offer from a third party to acquire all or substantially of the assets of the Company and its subsidiaries (the “Asset Sale”) and the Company expects such Asset Sale to be consummated no later than November 28, 2011;
