Boris,

I understand that there was some confusion with respect to the recent Confidential Treatment Order (CT Order) that was granted related to our agreement with QVC for the IsaacMizrahiLIVE line on QVC and wanted to provide some clarification in the hopes that you would pass this on. The CT Request was filed by Xcel Brands, Inc. at the request of QVC (and as a requirement under our agreement with QVC) in order to maintain the confidentiality of certain terms of the license agreement with QVC related to the IsaacMizrahiLIVE line that were deemed to be sensitive or confidential in nature. As such, it only applies to certain terms under the agreement with QVC that was filed as an exhibit to our September 29, 2011 8-K filing . The SEC granted confidentiality to the redacted terms under the agreement through October 1, 2015 pursuant to the CT Order dated February 9, 2012.
