They dont 8k the whole agreement but monthly payments are indicated here.

shall pay $1,700,000 to JDM over 18 months beginning on February 3, 2012



The language could read something to the effect of 15days after scheduled payment they can convert. We wont really ever know the details. The worse case is laid out by a few posters and is acceptable. As a poster on another board would say.
