The 10 million preferred shares convert at a ratio of 100 to 1. They are always in the money and you always consider them as common stock. They stay as preferred for control and rights purposes and can be converted and sold at any time. You calculate market cap on all shares O/S and all in the money preferred shares or shares that convert at a fixed ratio of a number of shares. So the market cap is over $85 million today. We still don’t know what they issued to acquire EMG

From reading the press releases, I don’t think the EMG they acquired has any revenue either. The Cadena family has been quite active in Florida registering a number of EMG companies. Much of this happened in the last several months. Looks like they have shuffled things around and just sold that was already trying to market this ED nutraceutical. Other than some hyped up comments in the press releases, I haven’t seen a thing where they are planning on developing and selling any drug. All they are doing is natural food supplements that don’t require FDA approvals. This is what nutraceuticals are. OTC and prescriptions products are drugs and require FDA approval and potentially very time consuming and costly trials. All I see from the press releases are claims they will launch supplements. These guys are vitamin and nutraceutical distributors by trade and now they are trying to launch a ED supplement with a very simply formulation of widely used food supplements. You should look at information on Pharma-Natural. It was founded by another person with Mr. Cadena being a VP and Director for a couple of years before he left. After he left, PNI was selling 7 products online. Today under the original founder and his continued activities they sell a large number of vitamins and supplements. It looks like Cadena might has played some junior role in the founding of that company but he left and when he did the company didn’t appear to be that significant. I’ll bet you they have limited distribution of their ED product in 2012 and nowhere near what they claim they will have in 2012. I bet revenue will insignificant during 2012. Nothing that would support a market capitalization anywhere near this level an a business that would normally have a multiple only a fraction of what a Pharma company might have.

One of the numbers of EMG variations owned by the Cadena family is EMG Distributors, Inc. They described their business as distributing a couple of these nutraceutical ED formulations through wholesalers catering to C-stores and gas stations. These are often the little things you see in a little box on a counter somewhere that move at a snails pace in a Stop n Go or 7-11 store or a gas station.

It looks like the Cadena family sold one of the EMG named companies to Hybrid and this company will try and market another variation on one of these easy to formulate nutraceuticals. This is another variation of these two products being sold by another Cadena family company named EGM Distributors. From records on corporations, it looks like the Cadena family might own the right to the 72HP formula that’s sold today. That would mean that HRID is just launching another variation of a supplement claiming to work on ED. It looks like this is competing with one or more other Cadena family businesses selling the two products shown below. How little revenue do you think these other two products generate in a year? This doesn’t appear to be what the press releases want to tell you.
