Pursuant to a Certificate of Amendment (the “Amendment”) to our Certificate of Incorporation filed with the Secretary of State of the State of New York on January 23, 2012, we effected a change in the par value of our common stock from $0.10 to $0.001, and we increased the number of authorized shares of our common stock from 150,000,000 to 250,000,000
