The way I see it Dennis knew that things were not adding up and it was time for him to leave.
Let's say the R/S happens. And let's say there is a big investor that is looking to put money into HFBG. After doing a small amount of DD, they will conclude that it would not be a good investment for obvious reasons. And one of the main reasons stated for a R/S was to make the share structure more attractive to some investors down the road.
Since HFBG isn't really selling anything, what would they be buying into? Let me guess.
