First time I can remember where you actually gave links!

Thank you.

Here are a few 'missing links'

Between #1 & #2 - Ben Hansel (by June 2006) was no longer CEO of Texxon, Claude Buchert was the CEO. So, over one year later when CSC assisted with their restructuring it would APPEAR that Ben Hansel was out of the picture.

Between #4 & #6 Ben Hansel left Texxon and a new management took control in May 2006. So, "Ben's company" is an incorrect label for XXX Acquisition Corp. since another team is managing it. Ben Hansel was no longer running the company by then.

6. OFFICERS AND DIRECTORS. It is the intent of the parties that after the Closing, Texxon shall have a Board of Directors consisting only of the three (3) members of the Board of Directors designated by TelePlus no later than five (5) business days prior to the Closing. Effective on and as of the Closing the existing Board of Directors of Texxon shall resign with the Board appointing the three (3) TelePlus nominees as directors to fill the vacancies.

So what do #7-#14 have to do with Ben Hansel?

I did not examine these documents in detail, just perused through a couple before leaving for work.

TIA & All The Best
