I forget where I read it, probably in one of the recent 8-k's, but...

They did not give the 21 days notice prior to the dec 31 payment date, therefore they were in default of the agreement. BDE did not implement the default action though and just took the shares at the average of the 3 lowest closing bid out of the last 20. It turned out to about .0013 per share to go against the debt.
