The definitive answer regarding the 1,550,000 is as follows:

“Global-E will have 1,550,000 shares outstanding at closing; all other existing shares will be canceled of Global-E and will issue 8,157,661 new shares of its common stock to acquire all of the assets of NowAuto, Inc.”

The “Global-E” referred to is really the current shareholders of the shell. There should be over 300, and if there are, 298 of them own less than 100 shares each. The other two Jamie Kerr and John Schaffer, own the rest, or approximately 98% plus of the balance of 6,800,000, with Kerr owning nearly all of these. They intend to return to treasury 5,300,000 shares at the close of the transaction, leaving them (mostly Kerr) with 1,500,000 and Shaffer will get an additional 50,000 at this time.
