It would suffice it to say that this is far reaching at best.

Right now the company has nothing. No revenues, No money no operations. Bayport represents a shell with shares as Lou and company have offered up nothing but shares. That is all they can offer because they have nothing else including expertise.

So this shell with shares that gives all operation responsibilities to unknown investors is going to be worth a billion soon? The most successful start ups in the world at least had the talent/expertise come from within. all you have here is a company working out of an office home and run by an individual with nothing but a checkered past with zero success.
