I'm not aware of a first private placement being done.

What happened at the end of September when BORK was at $2.50 was a transfer at $0.05 a share of restricted BORKs authorized by John Bourque and board for five million dollars, of which near all those shares going to John Bourque and close friends.

To tag that as a private placement is incorrect since if it was a private placement done to protect shareholder value, then at the most a 20% discount on the current market value of $2.50 would have Bourque Industries obtaining near 200 million dollars, which if done this company would have the current near empty facility of today buzzing with activity.
