Conversion-factor is 1,711 TIMES-the #-of Restricted-Preferred PTEL Shares.

When the Restriction is lifted from the Preferred Dividend Shares
on this coming April 3, 2012, the conversion-factor
(i.e., the multiplier-factor of 1,711) takes effect.
