Total shares voted: 113,577,980
Votes in favor of Removal: 76,313,985
Votes Against Removal: 36,981,673
Abstained: 282,322

More than a majority of the issued and outstanding stock of the Company eligible to vote at the meeting was represented, a quorum was present and the meeting transacted its business. The proposal to remove David H. Williams was approved by the appropriate vote of the shareholders.

The election results were certified by Continental Stock Transfer and Trust Company and Proxy Spencer Markle of Markle de la Cruz, LLP
