Special meetings can be called by the board, or by any other party named in the articles of incorporation or bylaws

...

that's why I pasted the by-laws above as the "may call" and "shall call" have me baffled...I thought a meeting could be called either by the Chairman of the Board or President(as noted in our by-laws) or by the BOD...
