Interesting how Management is hiding this information from the investing public.

"On October 11, 2011 the Company issued Exchange Agreements to four private investors who in the aggregate invested $145,000. These Exchange Agreements converted private placements to two year maturity and with a conversion price of $0.10 per common share. The Company formally cancelled the previously issued shares on November 12, 2011."

No 8k and no exhibit in the filings yet. It appears to be a material event, yet no disclosure anywhere about these 4 private investors. A very inconsistent disclosure policy, since Justin DeRezze was disclosed last year in the filings. And his investment was only $50,000, at a discount of about 66%.

How does this Company get away with this stuff?
