"GEAR has been acquiring stock privately over the last few months. With the agreements they have in place and assuming they are can complete the various transactions, they will have a large and controlling interest in Western.

GEAR and Western have been working together for some period of time now in a variety of ways and a variety of projects. The presence of GEAR should allow both old and new projects without further dilution to the Western Shareholders.

Management here believes that the continued interest of GEAR in the long term development of Western will be most beneficial."
