The Share Exchange provides for Doctors-TV's exchange of all of the equity interest of Doctors-TV in exchange for approximately 68% of the capital stock of CLX Medical, Inc. ("CLX Medical"), deliverable following a proposed recapitalization of the capital stock of CLX. CLX initially disclosed the Share Exchange in a form 8-K, file with the Securities and Exchange Commission on November 21, 2011.
