S-8 looks encouraging to me. Not much of a discount. Cornell must be confident in the companys business plan. Based on conversations with Dennis Key I'm guessing the financing is for aquisitions. Dennis thinks he can get revenues of 100 million in 2 years & 13 to 14 million on the bottom line with the right aquisitions. Said he had things in mind & cash was the only hinderence. Said also that because of the numbers they were putting up, many sources of financing were coming to them.

Liquidty will be increased. The 47K to Morton is a fee. How about Cornell receiveing 1,142,858 shares of the Company's common stock as a one-time commitment under the SEDA. Is this a gift or are they paying the 96% for them?

Thinking short term, this might not be looked at as good but in reality it may be very good when we find out the details.
