course if another entity bought Energy Source and did a share exchange that would really bring the pains on for the brokers



Share exchanges mean nothing. Making no initial effort to cover shares for "A" will simply need to no swap actions for shares of "B".

Plus, you use a US registered SPV handled by a major law firm, who handles the exchange. Unable to exchange, you get served a lawsuit.

Cash tender, not shares.
