Shareholders will NOT put a monkey wrench into anything if they withold their votes. gdepc is trying to sucker folks into sending their proxies in. Abstain from this proposal
by not doing anything. Do not send your proxy in period. Sit on it.

Let this esteemed management group worry about corporate officers and auditors at a later time.
