1. share structure. IMO its ok to *initially* use shares to pay
for services, assets, etc. But if that continues, it's at the
expense of shareholders. Carefully watch the usage of shares as
currency. And walk away if there's a R/S.
2. The reputation of the executive staff and directors. What other businesses are/were they part of? Is there outstanding litigation?
