Who are the officers running the company?

Have they had success in other operations?

Lets take a look at a few- Parent,Medhi and a little Miller

Lets start with Steve Parent our IR that seems to be more than that:

Stephen Bruce Parent, Steve served as President and Chief Executive Officer of General Metals Corp. (Formerly RECOV Energy Corp.) from May 2006 to February 2010. Mr. Parent founded Aztech Environmental Industries Inc. and serves as its President and Chief Executive Officer. He founded Goldspring Inc. and served as its Chief Executive Officer from March 2004 to September 2004. He served as Manager of Goldspring Inc. from March 2003 to March 2004. He served as President of Goldspring Inc. since December 2004. He served as Chief Operating Officer of General Metals Corp. from December 1, 2005 to May 2006. Mr. Parent has worked in the mining industry for nearly 25 years and has managed the exploration and development operations of several Junior Public mining companies in the United States and Canada. He was responsible for evaluation, acquisition and development of mining projects. He served as Chief Executive Officer of Ecovery Inc. He worked in the automotive industry for Penskes United Auto Group (UAG) during 2002 and 2003. He served as Chairman of the Board of Directors of Goldspring Inc. from March 2004 to September 2004. He has been a Member of Advisory Board at General Metals Corp. since February 2010 and served as its Executive Director from June 8, 2006 to February 2010. Mr. Parent served as Director of Goldspring Inc. from March 2004 to September 2004.

Ouch Racketeering and Fruad allegations.

A great quote from one of our leaders.

Steve Parent, GoldSpring's Chairman and Chief Executive Officer said, "It has been our policy to not be involved in the market at all, because it is nearly impossible to act absent insider information.

Just today someone said he purposely forced down the stock price since the insiders could not take advantage of that, seems right up his alley based on his history.

The State Court Case

On November 9, 2004, we filed a lawsuit in Maricopa County (Arizona) Superior Court against defendants Stephen B. Parent, Ron Haswell, Walter Doyle, Seth Shaw, Antonio Treminio, together with their spouses, and Ecovery, Inc., a Nevada corporation, or Ecovery.

The 12-count complaint alleges claims for violations of Arizona’s racketeering act, state-law securities fraud (primary and secondary liability), common-law fraud, negligent misrepresentation, breach of fiduciary duty, negligence/gross negligence, breach of contract, unjust enrichment/restitution, theft/conversion, conspiracy liability, and injunctive relief. In essence, the complaint alleges that Stephen Parent misrepresented the value of certain placer mining claims that his company, Ecovery, sold to us in 2003 in exchange for approximately 99,000,000 shares of our stock; that Ecovery no longer had good title to the mining claims when they were sold to us; that Mr. Parent and the other named defendants conspired to defraud us out of approximately 24,000,000 shares of our stock; and that Mr. Parent misappropriated more than $300,000 in company funds.

The Federal Court Case

Background

Stephen B. Parent and several others purporting to represent a majority of the shareholders of our company adopted Consent Resolutions in Lieu of a Special Meeting of Shareholder’s dated December 9, 2004, and Mr. Parent, Jerrie W. Gasch, and Purnendu K. Rana Medhi, each of whom served as a director of our company until Mr. Medhi’s resignation in April 2005, adopted Directors’ Consent Resolutions (together the “December Consent Resolutions”) dated December 10, 2004. Taken together, the December Consent Resolutions, by their purported terms, removed John F. Cook, Robert T. Faber, Leslie L. Cahan, Todd S. Brown, Christopher L. Aguilar, Stanley A. Hirschman, and Phil E. Pearce as directors, rescinded the restructuring of a $10 million financing transaction entered into in March 2004, removed Mr. Faber as President of our company, named Mr. Parent as President of our company and his wife as Secretary of our company, designated Mr. Parent as the sole signing officer of our company’s bank accounts, and terminated our company’s legal counsel


The Preliminary Injunction and Notice of Appeal

Following additional hearings in which the Court heard witness testimony and evidence, the Court issued an Order on February 15, 2005 granting plaintiffs’ Motion for a Preliminary Injunction. The Preliminary Injunction ordered the reinstatement of our company’s Board of Directors as it existed prior to December 10, 2004. As a result of the Court’s Order, John F. Cook, Robert T. Faber, Christopher L. Aguilar, Todd S. Brown, Leslie L. Cahan, Stanley A. Hirschman, and Phil E. Pearce have been reinstated as directors. Stephen B. Parent, Jerrie W. Gasch, and Purnendu K. Rana Medhi remained directors until Mr. Medhi’s resignation in April 2005. The Court’s February 15 Order also stayed the implementation of the Consent Resolutions, and directed us to hold a special shareholders meeting within 30 days.

In concluding that the Preliminary Injunction should issue, the Court stated, “The Court is specifically concerned about the irreparable injury that would occur to GoldSpring and its shareholders and investors if Defendants [Mr. Parent, his wife, Jerrie W. Gasch, and Purnendu K. Rana Medhi] are permitted to manage the corporation. There is substantial evidence of Parent’s wrongdoing in his former position as CEO of GoldSpring, such as his misappropriation of corporate assets for his personal use. The Defendants’ attempt to rescind the [financing] transaction that was approved at the Board of Directors meeting on November 30, 2004 could adversely impact GoldSpring’s ability to meet its obligations under the agreement. Rescission of the refinancing transaction would prove detrimental for GoldSpring because the corporation would be forced to pay the $200,000.00 monthly penalty for failing to file the S-1 Registration with the SEC within ninety (90) days of the March 22, 2004 agreement between GoldSpring and [various investors]. This penalty had accrued to over $1,000,000.00 as of November 30, 2004.”

Purnendu K. Rana Medhi Age 73

Mr. Purnendu K. Medhi, Rana serves as a Principal of Mineral Evaluation Network, a worldwide cooperative of economic geologists and mining professionals. Mr. Medhi serves as a Principal of Minerals Management International. He serves as an Adjunct Professor of mining technology and geology with community colleges of Arizona. He spent 28 years at Cyprus Amax Minerals Company and served as Senior Operations Manager for 15 years and served as its General Manager of several of its operating divisions, where he participated in many of the industrial mineral, base metal and gold discoveries and mine development projects and played a key role in developing roasting, leaching and SX-EW technology. Mr. Medhi established in business development and alliance, exploration and mine development, mine evaluation, as well as mine operation and permitting. He has extensive international mining experience and good reputation has enabled him to successfully lead projects from the exploration phase through start-up to commercial production and post closure mining activities on a large scale. He has been Chairman of the Board of Sunergy Inc. since June 2009. Mr. Medhi serves as Chairman of the Board of Governors of the Arizona Department of Mines and Mineral Resources and Trustee of the Boards of the Mining Foundation of the Southwest and AIPGFoundation. Mr. Medhi has been Chairman and Member of the Advisory Board of General Metals Corporation since February 20, 2007. He has been a Director of Sunergy Inc. since March 11, 2009 and General Metals Corporation since December 30, 2010. He served as a Director of Goldspring Inc. from February 10, 2004 to April 2005. Mr. Medhi holds a Masters of Science degree from the University of Arizona and is a Registered Mining and Engineering Geologist in the states of Arizona and Oregon and a Certified Professional Geologist with the American Institute of Professional Geologists.

One could almost consider Parent and Medhi “thick as thieves”

Really does Medhi own a small 1907sq house worth just 105,200, sounds odd for a person on different boards of directors and 40 years’ experience in the mining industry?

My favorite part of the lawsuit:

"K. Rana Medhi purportedly seized control of our company. They attempted to remove the remaining seven members of our board and announced their intention not to honor the restructured subscription agreement of November 30, 2004, which both Mr. Medhi and Mr. Gasch had approved. On December 21, 2004, Mr. Parent caused our pending registration statement to be withdrawn from SEC consideration, resulting in further delays to the registration process and additional liquidated damages. Mr. Parent remained in control of our corporate office until February 16, 2005 (See - Legal Proceedings). During his period of purported control of our company, Mr. Parent refused to honor our obligations under On or about December 9, 2004, Mr. Parent and fellow directors Jerrie W. Gasch and Purnendu either the March 2004 subscription agreement or the restructured November 2004 subscription agreement."

Medhi seems to be following Parent around….Involvement in Comstock, Revco, Goldspring, General Metals and Sunergy. Exactly the same route as Parent.

Outside of a restraining order by Goldspring Medhi seems pretty clean the fraud and racketeering seems more geared to Parent wrong doing. Gotta love the fact that Parent's wife was even involved.

Bryan Miller Age 53
Mr. Bryan Miller serves as the Principal Executive Officer, Principal Financial Officer and Principal Accounting Officer of Sunergy Inc. and has been its President since November 2, 2010. Mr. Miller serves as Chief Executive Officer of Allied Mining and Supply, LLC (AMS). He co-founded Allied Mining & Supply. He has identified several areas of significant potential growth in Sierra Leone involving minerals prospecting and exploration, agriculture and distributed power generation. Mr. Miller has taken the lead on the AMS community development programs in the communities. He has spent 20 years as a business consultant and executive director in the media, renewable energy and resource industries. His particular expertise is in corporate development, deal structure and project management. He has been Director of Sunergy Inc., since November 2, 2010. He serves as a Director of Allied Mining and Supply, LLC.

Mr. Miller held executive level positions in the cable television industry from
1998 to 2007, including serving as Executive Director of cable access operations
for the cities of Napa, Santa Maria and Lompoc, California.

No real background in mining before 2007….Not the best appearance for a CEO of a mining company. Just 4 years in the industry.

His contact number is a cell phone rather than internal business phone. Parent is the same.

A ghost based on internet searches. No background hits, no SEC filings for shares of SNEY, no real-estate listings. Pretty much a nobody based on searches. Even Allied has little information bouncing around.


In the end both Parent and Medhi have a background but none of the companies they were involved in did well while they are on the board. They simply bring a tainted history of mischief along with them. Miller has little to background in mining and we will have to wait and see what he has to offer. Gonna dig a bit deeper and see what pops up. Also planing a criminal background search on all members to see if any of the allegations turned into criminal proceedings.
