I dont recall much from my M&A classes, but I do believe the company is doing a reverse triangular merger. Reverse triangular mergers are usually used to allow a corporation to get rid of some unwanted and potential liability. The purpose is to first merge sunncomm into a third corp but leave some liabilities behind, then the new formed sub is absorbed completly into the surviving corp. I think that the language referred to in what you are quoting refers to the merger of sub and SCMI and not SCMI and MMXT. His is my best guess at what is going on, have not had time to read and analyze the various documents. Joe.
