So what's the current situation with Mineseeker Operations Overseas Limited?

According to an article posted on their website from September 7, 2011 Mineseeker acquired 442,000,000 of the 450,000,000 shares that were being held in Centacom's name.

In an agreement with Centacom Holding Corporation and James Owens, majority shareholder of Centacom Holding Corporation, signed on 30th August 2011, Mineseeker acquired the 442,500,000 (four hundred and forty two million five hundred thousand) of the 450,000,000 (four hundred and fifty million) control shares which were being held by Centacom Holding Corporation.




Since NHSH has no preferred shares all the voting rights are with the common shares. Mineseeker has the voting power to do pretty much anything they want with the NHSH shell.

Looks like the plan is to do a name change and some musical chairs with the Director/Officer positions. Mike Kendrick will become the CEO of NHSH and Jeff DiGenova will remain on board as a Director.

Mineseeker Operations Overseas Limited (Mineseeker) is making excellent progress in discussions regarding a Share Exchange Agreement with NHS Health Solutions, Inc (NHSH). Mineseeker will become a wholly owned subsidiary of NHSH once the agreement is complete. The first corporate task that management will perform is to effect a name change of NHSH to Seeker Technologies, Inc. A corporate website will be created at www.sekrtechinc.com, and will include an Investor Relations page showing corporate information including annual reports, SEC and regulatory filings and other stakeholder communications. From this corporate website, there will be links to the specific websites for each company within the group.

Once the agreement is finalised, the Board of Directors of Seeker Technologies, Inc. shall be made up of Michael Kendrick, Edward Cross, Mark Dorey and Jeff DiGenova. Michael Kendrick will serve as Chairman and Chief Executive Officer and under his direction the board will move to appoint the officers of the company at their first meeting following completion.

The Mineseeker Foundation sounds like a terrific cause. I'm not sure how profitable the Foundation is. Almost seems out of place for a group like this to want to merge into a publicly trading penny stock shell. Especially one with NHSH's history.

It is pretty much impossible at this point to gauge the financial status of a company like Mineseeker (both present and future). The company is well established and real. Guess time will tell if the Mineseeker/NHSH agreement ends up closing and what sort of value it will bring to NHSH shareholders.

The most important issue for Mike Kendrick if he does some day take over the NHSH shell is giving shareholders transparency on the debt Note issues and handling that situation to avoid the conversion of those Notes diluting down the NHSH share.
