IPxes question for all....

It seems that all (and I do mean all) of the contracts Telatinos has been announcing in the past months have been for their IPxes services. If any of their other services generate much revenue, they certainly haven't been discussing it publicly.

From Dec 27th PR:
"Telatinos Inc. (OTC:TLTA), a Latin American VoIP and communication service provider, today announced that, with the infusion of new capital from an investment group, the Company has formed a majority owned subsidiary. The new subsidiary, 75% of which will be owned by current Telatinos shareholders and 25% of which has been purchased by the new equity investment, is to be named IPxes Inc (Nevada). In addition to this equity investment, the investors have additionally purchased a "3 Year springing option" to acquire Telatinos 75% share of the subsidiary in the event of a material change of control of the Parent. "

What the hell does that mean? what is a "material change of control of the Parent"? Are the puppetmasters planning on pumping the Telatinos share price by pointing to all of this revenue IPxes is pulling in, cashing in on the hundreds of mllions of prefferred shares that have been hiding away in the past months (OS 44 million my ass, so misleading), and then excercise the "springing option" taking Telatinos only moneymaking asset and leaving the shareholders with squat?
